Say on Pay Snapshot is a new weekly report for the companies, investors and board directors in the Governance Exchange community. The report provides regular updates on management "say on pay" (MSOP) and "say when on pay" (MSWOP) resolutions as the proposals are released and voted in Russell 3000 companies' meetings.

What is Say on Pay?

FAST FACTS -- WHAT IS SAY ON PAY?

  • Management "Say on Pay" (MSOP) - MSOP is a rule implemented by the Dodd Frank Act (2010) allowing shareholders to cast an advisory vote on companies' executive compensation proposals. These votes are non-binding, meaning companies are not required to act on them, though shareholders may take other action if advisory votes on compensation are ignored. For example, shareholders could opt to vote against directors sitting on the compensation committee.
  • Management "Say When on Pay" (MSWOP) - MSWOP is a component of Say on Pay in the U.S. wherein shareholders and management  cast a non-binding advisory vote on the frequency at which companies' executive compensation proposals should be submitted for a shareholder vote. Frequency options are annual (1 year), biennial (2 year) and triennial (3 year).
  • 2011 Proxy Season - Proxy season 2011 is the first company meeting season where companies are mandated to have MSOP and MSWOP proposals for shareholder vote. Trends will emerge as the proxy season continues and as shareholders and corporate management react to 2011 results in their 2012 proxy statements.
  • Global Say On Pay - Say on Pay is an advisory vote currently mandated for public companies in the U.S., U.K., France, Spain, Norway and Australia. Say on Pay is a binding vote in the Netherlands.
